Terms of Service

These Terms of Service govern your organization's access to and use of Starside Technologies' aerospace compliance, engineering graph, and verification platform.

01Acceptance of Terms

These Terms of Service (“Terms”) form a legally binding agreement between STARSIDE TECHNOLOGIES Pvt. Ltd. (“Starside”, “we”, “us”) and the customer organization (“Customer”, “you”) named on an associated Order Form, Statement of Work, or enterprise account provisioning document.

By accessing, implementing, or utilizing the AssembleIT platform, APIs, CLI utilities, or web applications, you confirm that you have the organizational authority to bind Customer to these Terms. If a separate signed Master Subscription Agreement (“MSA”) exists between Starside and Customer, the terms of that MSA shall supersede any conflicting terms herein.

02The AssembleIT Platform

Starside provides an intelligent operating system for aerospace engineering programmes, including requirements traceability, living engineering graph generation, automated compliance verification (e.g., DO-178C, DO-254, ARP4754A, ECSS), and certification artifact generation.

  • Enterprise Tier Provisioning: Access is provisioned on a per-tenant, per-programme, or seat basis as specified in the applicable Order Form.
  • Continuous Updates: Starside periodically enhances features, verification algorithms, and security baselines without degrading committed core functionality or historical compliance audit trails.

03Authorized Use & Export Controls

Customer agrees to use the Services solely for legitimate engineering, certification, and programme management purposes. Customer shall not:

  • Reverse engineer, decompile, or extract the source code or proprietary graph heuristics of AssembleIT.
  • Attempt to bypass security perimeters, RBAC constraints, or multi-tenant boundary checks.
  • Transmit or ingest data in violation of applicable international export control laws (including US ITAR, EAR, or Indian SCOMET regulations) without selecting an appropriately certified sovereign/air-gapped deployment tier.
  • Resell, sublicense, or operate the Services as a third-party bureau without express written consent.

04Intellectual Property & Data Rights

Customer Owns All Customer Data: Customer retains exclusive, unfettered ownership and all intellectual property rights in and to all engineering graphs, CAD metadata, requirements, test reports, and verification artifacts uploaded or generated within Customer's workspace.

Starside Platform IP: Starside retains all rights, title, and interest in and to the AssembleIT platform, software algorithms, UI designs, verification engines, and documentation.

Proprietary Engineering Protection

Starside does not claim any license or right to Customer engineering models other than the limited operational right to execute verification routines and render your workspace. Customer data is never incorporated into general training corpuses.

05High-Assurance Engineering Notice

AssembleIT provides high-precision traceability, compliance gap detection, and deterministic verification assistance. However, final aerospace sign-off, system qualification, flight readiness review, and regulatory certification remain the sole responsibility of licensed engineering teams and certified Designated Engineering Representatives (DERs).

The platform is designed to amplify and accelerate human engineering rigor, not to replace certified airworthiness approvals or authoritative physical testing.

06Availability & SLA Commitments

For cloud-hosted enterprise tiers, Starside commits to 99.9% monthly platform availability, excluding scheduled maintenance windows announced at least 72 hours in advance.

  • Mission-Critical Support: Enterprise customers with 24/7 mission support tiers receive dedicated 1-hour P0 incident response times.
  • Sovereign & On-Premises Tiers: For air-gapped or on-premises deployments, availability SLAs are governed by the Customer's internal infrastructure team in conjunction with Starside support patches.

07Confidentiality & Non-Disclosure

Both parties agree to treat all non-public technical, operational, and commercial information disclosed during the term of the agreement as strictly Confidential Information.

Each party will hold the other's Confidential Information in strict confidence and will not disclose it to any third party, except to employees, contractors, and advisors with a legitimate need to know under equivalent non-disclosure obligations.

08Commercial Terms & Payment

Fees for AssembleIT subscriptions and professional deployment services are set forth in the applicable Order Form. Unless stated otherwise:

  • Invoices are payable within thirty (30) calendar days from invoice date (Net 30).
  • All amounts are exclusive of applicable statutory taxes, VAT, or GST, which shall be added as required by local tax law.

09Term, Suspension & Termination

These Terms remain effective for the duration specified in your Order Form. Either party may terminate for material breach if such breach remains uncured thirty (30) days after written notification.

Upon termination, Customer will be provided a thirty (30) day data extraction window to export all engineering graphs, verification artifacts, and compliance dossiers in open, industry-standard formats (JSON, ReqIF, PDF/A, STEP metadata).

10Liability & Indemnification

Except for willful misconduct, gross negligence, or breach of confidentiality/IP obligations, neither party's total aggregate liability arising out of or related to these Terms shall exceed the total fees paid by Customer to Starside in the twelve (12) months preceding the claim.

Starside warrants that the platform does not infringe third-party intellectual property rights and will defend and indemnify Customer against any third-party IP infringement claims.

11Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India (for contracts executed with STARSIDE TECHNOLOGIES Pvt. Ltd.), or as mutually agreed in the applicable Enterprise Master Agreement. Any dispute shall be resolved via binding arbitration under standard commercial arbitration rules.
